Prizecart Terms of Use

Prizecart Pty Ltd (ABN 47 688 017 692) ("Prizecart", "we", "us", "our") operates an online digital shopping platform, including but not limited to its website, mobile application, browser tools, retailer integrations and related services (collectively, the "Platform").

The Platform allows users to access participating retailers and to receive promotional benefits, including but not limited to digital Prize Boxes, prize allocations, progression mechanics and wallet-based tracking features (the "Services").

These Terms of Use ("Agreement") constitute a legally binding agreement between Prizecart and any individual who accesses or uses the Platform or maintains an account with Prizecart ("you", "your", "User").

By accessing the Platform, creating an account, or using any of the Services, you acknowledge that you have read, understood and agree to be bound by this Agreement. If you do not agree, you must not use the Platform.

Prizecart may modify this Agreement to reflect changes in law, security or the Services, or for other reasonable business reasons. Prizecart will take reasonable steps to notify you of material changes; where a change materially disadvantages you, you may close your account. Continued use of the Platform after a modification takes effect constitutes acceptance of the updated terms.

1. Nature of Prizecart Services; Our Role and Legal Position

Prizecart operates an online "digital mall" — a digital shopping-centre platform. Prizecart is a discovery platform: it showcases and helps users discover independent third-party retailers ("Participating Traders") and shop with them through the Platform.

Participating Traders are independent businesses. Their inclusion on the Platform is for discovery and promotional exposure only and does not create any partnership, joint venture, agency, employment, endorsement or other affiliation between a Participating Trader and Prizecart beyond the commercial arrangement under which they are featured. Prizecart does not sell the Participating Traders' goods or services; each purchase is a contract between you and the relevant Participating Trader, on that Trader's own terms.

As the operator of the digital mall, Prizecart may from time to time run promotions. Any such promotion:

  • is conducted solely by Prizecart, as the sole promoter;
  • may involve instant rewards or "Prize Boxes" generated and determined using Prizecart's own technology (including a random number generator);
  • may feature or relate to Participating Traders, but those Participating Traders are not promoters, co-promoters, prize suppliers or administrators of the promotion, do not fund or supply any prize, and bear no responsibility for the promotion; and
  • is funded, administered and conducted by Prizecart, which is solely responsible for it.

Users may receive promotional "Prize Boxes" when making eligible purchases through Participating Traders.

Prizecart:

  • Is not a bank or authorised deposit-taking institution;
  • Does not provide financial products within the meaning of the Corporations Act 2001 (Cth);
  • Does not operate a gambling service;
  • Conducts trade promotions subject to applicable Australian law.

Any promotion, prize structure or campaign operated through the Platform is governed by separate Promotion Terms & Conditions, which supplement this Agreement. Prize promotions are conducted as trade promotion lotteries under applicable Australian State and Territory law and are open only to eligible residents of Australia (see clause 9).

Nothing on the Platform constitutes financial advice, gambling services, or investment products.

2. Eligibility and Account Registration

Access to certain Services requires the creation of a Prizecart account.

You must:

  • Be at least 18 years of age and a resident of Australia;
  • Be legally capable of entering into binding contracts;
  • Provide accurate, current and complete information;
  • Maintain only one (1) account.

Each of the following may only be linked to a single Prizecart account:

  • Email address
  • Mobile phone number
  • Bank account or payment method
  • Identity credential
  • Device (where reasonably determined by Prizecart)

You must not create, control, or operate multiple accounts. Prizecart may, at its sole discretion, determine whether accounts are linked, associated, or operated by the same individual.

Prizecart reserves the right to suspend, merge, restrict, or permanently terminate duplicate or associated accounts.

3. Account Security and Verification

You are responsible for maintaining the confidentiality of your login credentials and verification mechanisms, including SMS verification codes.

You agree that:

  • Only one mobile number may be linked to your account.
  • You will not use temporary, virtual, rotating, or bulk-number services to create or verify accounts.
  • You will not share verification credentials with third parties.

Prizecart may require identity verification, transaction verification, or additional documentation before permitting withdrawals, prize confirmation, or continued access.

Prizecart may suspend accounts pending review without prior notice.

4. Prize Box Allocation and Limits

Prize Boxes are promotional allocations issued at Prizecart's discretion in connection with eligible purchases made through Participating Traders. The number of Prize Boxes earned for an eligible purchase depends on the store and is set out in the applicable Promotion Terms & Conditions and shown in-app at or before the time of purchase (for example, currently one (1) Prize Box per AUD $5 spent at a Featured store, one (1) Prize Box per AUD $10 spent at a Plus store, and one (1) Prize Box per AUD $30 spent at a Standard store).

Prizecart may impose a weekly Prize Box allocation cap of up to two hundred (200) Prize Boxes per account.

This cap:

  • Operates on a rolling weekly basis;
  • May allow unused Prize Boxes to roll forward into subsequent weeks;
  • May be modified, reduced, increased or removed at Prizecart's discretion.

Prizecart reserves the right to implement activity-based limits, behavioural thresholds, or anti-abuse controls.

A Prize Box's outcome is only determined when you open it (opening a Prize Box is also referred to as revealing it); in these Terms the words open and reveal are used interchangeably. Prize Boxes that remain unopened when the relevant promotion closes or its promotional period ends will expire, and no prize is determined or awarded for an unopened Prize Box. This includes where a promotion ends early because its prize pool is exhausted: once the prize pool for a promotion is exhausted, any Prize Boxes earned during that promotion expire and confer no entitlement to a prize.

Prize Boxes do not constitute property, currency, or proprietary rights.

5. Progression, Levels and Feature Gating

The Platform may include progression mechanics, levels, XP systems, or tier-based functionality.

Prizecart may restrict certain features, promotions, prize tiers, utilities, or participation rights to users who satisfy progression criteria.

Prizecart reserves the right to modify progression requirements, suspend levels, or withdraw gated utilities at any time.

No user has a contractual entitlement to continued access to any level-based feature.

6. Provisional and Confirmed Outcomes

A Prize Box outcome indicating a prize allocation is provisional only.

A prize becomes confirmed only when:

  • The underlying purchase is validated as not refunded, reversed, cancelled or charged back;
  • Affiliate commission is confirmed as payable (where applicable);
  • Fraud and eligibility checks are completed;
  • All required information is provided.

This confirmation process may take up to sixty (60) days.

If a transaction is refunded or otherwise invalidated, associated provisional prizes may be voided and any locked balances may be reversed.

Prizecart's determination regarding confirmation status is final, subject to your rights under the Australian Consumer Law and any applicable law.

7. Wallet, Locked Balances and Nature of Value

The Platform may display balances including:

  • Locked balances
  • Unlocked balances
  • Pending values

Such balances:

  • Do not represent funds held on trust;
  • Do not constitute a deposit or stored value facility;
  • Do not accrue interest;
  • Do not create proprietary rights over assets.

They represent contractual promotional entitlements only.

Prizecart may adjust, deduct, reverse, or correct balances where necessary, including in cases of system error or fraud.

Once a prize is confirmed, it is paid or provided in the form specified in the applicable Promotion Terms & Conditions — for example, by electronic funds transfer or as a gift card or voucher. Any gift card or voucher is subject to the issuer's standard terms (including any expiry and conditions of use), and the relevant brand does not sponsor, fund or administer the promotion.

8. Fraud, Abuse and Platform Manipulation

Prizecart may suspend, restrict or terminate accounts if it reasonably believes you have engaged in:

  • Multi-accounting
  • Refund cycling or chargeback abuse
  • Artificial transaction manipulation
  • Coordinated activity
  • Bot use or automation
  • Exploitation of system mechanics
  • Circumvention of Prize Box caps
  • Misrepresentation of identity or eligibility

Prizecart may void prizes, reverse payouts, freeze balances, and permanently ban users.

Prizecart is not required to provide advance notice before taking such action.

9. Promotions and Trade Promotion Terms

Each major campaign, set-piece event or limited drop may be governed by separate Promotion Terms & Conditions.

In the event of inconsistency between this Agreement and specific Promotion Terms, the Promotion Terms prevail.

Participation in any promotion constitutes acceptance of its specific terms.

Prizecart prize promotions are conducted as trade promotion lotteries and are open only to residents of Australia aged 18 or over in the eligible States and Territories specified in the relevant Promotion Terms & Conditions.

10. Retailer Independence

Retailers are independent third parties.

Retailers:

  • Do not administer Prizecart promotions;
  • Are not responsible for prize funding;
  • Are not liable for Prize Box outcomes.

All purchases are governed by the retailer's own policies, including returns and refunds.

Prizecart accepts no responsibility for retailer conduct or product quality.

11. System Errors

Prizecart reserves the right to correct errors resulting from technical malfunction, system failure, connectivity disruption or coding defects.

If a Prize Box outcome is displayed due to such an error, Prizecart may (acting reasonably and to the extent permitted by law) declare it void and reprocess the outcome. Where it does so, Prizecart will keep records of the error and notify the affected user with reasons. This applies to genuine system errors only and is not a means of reversing a validly won prize.

Prizecart's decision is final, subject to applicable law and your rights under the Australian Consumer Law.

12. Communications

By registering an account, you consent to receive:

  • Account-related communications;
  • Security alerts;
  • Promotional notifications;
  • Marketing communications (subject to applicable law).

You may opt out of marketing communications where legally permitted.

13. Intellectual Property

All content, trademarks, logos, software and design elements are owned by Prizecart or its licensors.

You may not copy, reproduce, scrape, reverse engineer, distribute or exploit any portion of the Platform without written consent.

14. Indemnity

You agree to indemnify Prizecart and its affiliates against claims, losses, liabilities and expenses arising from and to the extent caused by your breach of this Agreement or your misuse of the Platform, except to the extent the loss results from Prizecart's own negligence or breach. Nothing in this clause requires you to indemnify Prizecart for any liability that cannot be excluded under the Australian Consumer Law.

15. Warranty Disclaimer

The Platform and Services are provided "as is" and "as available."

Prizecart makes no warranties regarding:

  • Continuous availability;
  • Error-free operation;
  • Specific prize outcomes;
  • Retailer performance.

Nothing excludes rights under Australian Consumer Law.

16. Limitation of Liability

Prizecart is not liable for indirect, incidental, consequential or economic loss. Nothing in this Agreement excludes, restricts or modifies any consumer guarantee, right or remedy under the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)) that cannot lawfully be excluded.

17. Termination

Prizecart may suspend or terminate your account for breach, fraud, regulatory compliance, operational necessity, or commercial reasons.

You may cease using the Platform at any time.

18. Governing Law

This Agreement is governed by the laws of Victoria, Australia.

The courts of Victoria have non-exclusive jurisdiction.

19. Severability

If any provision of this Agreement is or becomes invalid or unenforceable in any jurisdiction, that provision applies to the maximum extent permitted and, to the extent it cannot, is severed, and the remaining provisions continue in full force and effect.
